Terms of Service

1. Acceptance of Terms
By accessing or using SALARIER (“the Service”), operated by Sri Anant Enterprises (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service.
You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
SALARIER is a web-based payroll management platform that enables businesses to generate employee payslips, manage billing and invoicing with GST compliance, maintain customer records, and produce GST-compliant tax invoices. The Service is provided on a software-as-a-service (SaaS) basis.
3. User Accounts
3.1 Registration. You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3.3 Account Termination. We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
- Upload, transmit, or store any data that infringes the intellectual property rights or privacy rights of any third party;
- Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks connected to the Service;
- Interfere with or disrupt the Service or servers or networks connected to the Service;
- Use any automated means (including bots, scrapers, or spiders) to access or collect data from the Service without our express written permission;
- Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent.
5. Intellectual Property
5.1 Our IP. The Service, including its original content, features, functionality, and design elements (excluding your data), is and will remain the exclusive property of Sri Anant Enterprises and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.
5.2 Your Data. You retain all rights, title, and interest in and to the data you upload to or generate through the Service (“Customer Data”). By using the Service, you grant us a limited, worldwide, royalty-free license to use, copy, transmit, and process Customer Data solely for the purpose of providing the Service to you.
5.3 Feedback. Any suggestions, ideas, or feedback you provide about the Service may be used by us without any obligation to you.
6. Fees and Payment
6.1 Subscription Fees. Certain features of the Service may be subject to subscription fees. All fees are non-refundable except as required by applicable law or as expressly set forth in these Terms.
6.2 Tax. You are responsible for all applicable taxes, including GST, associated with your use of the Service.
7. Third-Party Services
The Service may integrate with or contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SRI ANANT ENTERPRISES, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
10. Indemnification
You agree to defend, indemnify, and hold harmless Sri Anant Enterprises, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) your Customer Data.
11. Data Protection
Our collection and use of personal data is governed by our Privacy Policy. If you are subject to GDPR or similar data protection laws, our Data Processing Agreement (DPA) applies to our processing of personal data on your behalf.
12. Confidentiality
Each party agrees to maintain the confidentiality of any non-public, proprietary information disclosed by the other party (“Confidential Information”). Confidential Information does not include information that: (a) is or becomes publicly available without breach; (b) was lawfully known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law or court order.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.
14. Governing Law and Dispute Resolution
14.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
14.2 Dispute Resolution. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, India, and the language shall be English.
15. General Provisions
15.1 Entire Agreement. These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
15.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right.
15.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
15.5 Force Majeure. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
